General Terms of Sale

1. 1. Each order or acceptance of a quotation by you from us shall be deemed an offer by you to buy goods subject to these conditions.
   2. These conditions shall come into force on acceptance of your order by us.
   3. In case of any conflict, variance or inconsistency between these conditions and the terms of your order or any correspondence relating thereto these conditions shall prevail to the extent that they are not specifically excluded in writing by us.
   4. No statement, documentation or correspondence, which is not specifically herein stated or referred to, shall apply to the Contract brought into being on acceptance of your order by us and any samples, drawings, descriptive matter, specifications or advertising issued by us is so issued for the purpose of giving an approximate idea of the goods described in them and shall not form part of the Contract.
2. 1. Goods rejected by you as not complying with the Contract must be so rejected within ten days of receipt by you.
3. 1. No claim for shortage, damage or loss can be allowed unless we are given written notification of such shortage, damage or loss:
      1. within three days of receipt of the goods in the case of damage and/or shortage;
      2. within ten days of our invoice date in the case of loss.
   2. In no circumstances should damaged goods be returned to us prior to a written request for such return being made by us.
4. 1. We shall be under no liability for any defect, which is due to accident, fair wear and tear, negligent use, tampering, improper handling, improper use, improper operation or improper storage of any other default on the part of any person other than us.
   2. We shall not be responsible for the suitability of goods supplied by us when used otherwise than in accordance with instructions in writing supplied by us whether on product labels or howsoever.
   3. In particular, we shall not be liable for any consequential loss or damage nor shall we have any liability in tort, when our products are used otherwise than in accordance with instructions supplied as aforesaid.
   4. Nothing in these conditions excludes or limits our liability:
      1. for death or personal injury caused by the Company's negligence; or
      2. under section 2(3), Consumer Protection Act 1987; or
      3. for any matter which it would be illegal for the Company to exclude or attempt to exclude its liability;
         or
      4. for fraud or fraudulent misrepresentation.
5. 
   For all sales made on credit payment is due from you within the thirty days following the invoice date.
6. 1. The title to goods delivered shall not pass until payment in full has been received by us.
   2. Notwithstanding condition 6(a) the goods are at the risk of you from the time of delivery
7. 
   In the event full payment is not made strictly in accordance with these conditions:
   1. we reserve the right to withhold future deliveries; and
   2. you hereby grant us our agents and employees an irrevocable licence of any time to enter any premises when the goods are or may be stored in order to recover them.
8. 
   These conditions shall be governed and construed in accordance with English Law and shall be subject to the non-exclusive jurisdiction of the English Courts.
